About Frank Harrison:

 

Accomplished senior financial professional and consultant with investment fund manager experience, senior level executive experience, and lending experience, as well as 15 years of advisory experience.  Most recently served as the Investment Manager for an asset-based, real estate lending fund.  Past experience as both a full-time and interim CFO; also served as a M&A and audit manager with PriceWaterhouse Coopers CPA’s.   Excellent due diligence skills both in high-level analysis as well as ratcheting down on detail as necessary; and can problem solve and draw sound conclusions rapidly.  Proven ability to structure, negotiate, and execute on significant lending, operating and financing agreements.

 

PROFESSIONAL EXPERIENCE INCLUDES:

 

Fund and Asset Management Experience – Asset Based Lending Fund:

 

·         Investment manager for an asset-based real estate lending fund that averaged a 15% net return to its investors for the last few years.  Fund was a special-purpose subsidiary for an $800 million asset-based lending fund

·         Responsible for all phases of investment asset management from: deal flow generation; deal write-up and loan origination; chair investment committee meetings; term sheet issuance; oversee documentation and closing; loan servicing and pay-off; and perform work-outs, if needed, including overseeing all related litigation

 

Chief Financial Officer Experience:

 

CFO experience includes full-time roles for both a high-tech, media start-up company and an Internet services company; as well as performing numerous interim CFO advisory engagements.  Experience includes:

·         While serving as CFO, one company achieved the following in just the first 18 months: personnel grew from 15 people to 120 people; raised $70+MM in 4 rounds of venture and strategic financing; revenue grew from $2.5MM to $20MM; performed IPO bake-off and successfully filed S-1 with Morgan Stanley (pulled April 2000)

·         Restructured and reorganized corporations and spun-out or sold off non-core divisions and operating assets to facilitate financing and improve valuations

·         Responsible for all corporate development including participating in client presentations with sales team; also managed a multi-million dollar Ford sales account and strategic investment

·         Responsible for all internal and external and tax reporting, and created relevant business models

·         Served as corporate secretary, including preparing the agenda and packages for Board of Director meetings

·         Handled all phases of capital raising and investor relations including: identifying targets; preparing materials; running road shows; negotiating term sheets with competing investors; the closing; and regular communications

 

Corporate Finance Experience:

 

·         Significant experience in raising and closing on over $100 million of venture capital equity financing – Series A through E rounds including managing the road show process, identification of lead investor, negotiation of term sheets, managing investor allocations and employee option issuances, closing, etc.

·         SEC experience specifically including managing an IPO; including the bake-off process for the selection of lead and co-managing bankers; preparation of the kick-off meeting; drafting S-1 with senior management and lawyers; and working with SEC to resolve comments

 

Bankruptcy and Workout Advisement:

 

Extensively experienced in representing the secured lender’s interest in Bankruptcy cases including:

  • Structured bankruptcy strategy and successfully defended against priming lien attempts
  • Negotiated interim bankruptcy cash collateral and management agreements
  • Participated in section 363 sales including selection of bankers, development of bidding procedures, execution on auction strategy, and structure of sale agreements

 

Operational and Financial Analysis Projects:

 

Involved in numerous engagements and projects providing a wide variety of services including financial analysis and business planning, viability analysis, cash flow financial forecast preparation, reorganization plans and negotiations, sale of operations and assets and numerous other related services.

 

 Lending and Debt Experience:

 

  • Closed over $50 million in loan transactions in the last few years both as lender and broker
  • Reviewed over $5 billion of loan transactions annually for the last several years
  • Represented both lenders and borrowers in the negotiation of term sheets and loan agreements
  • Managed the SEC and stock exchange and tax reporting for, oversaw interest payments of, and ensured the debenture / covenant compliance for $1 billion in NYSE publicly traded debt securities

 

Investment Due Diligence:

 

Performed extensive due diligence on investments - with a special concentration on asset-based and real estate transactions - including valuation and location review, identifying issues for contract provisions, title review, etc.
